Auraly — End User License Agreement (EULA)

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User" or "you") and Centaur Studios ("Licensor," "we," "us," or "our") for the use of the Auraly mobile application ("Licensed Application" or "App"). By downloading, installing, or using the App, you agree to be bound by the terms of this EULA.
1. Acknowledgment
This EULA is between you and Centaur Studios only, and not with Apple Inc. ("Apple"). Centaur Studios, not Apple, is solely responsible for the Licensed Application and its content. This EULA may not provide for usage rules that are less restrictive than the Apple Media Services Terms and Conditions (the "Usage Rules"), and in case of conflict, the Usage Rules shall apply.
2. Scope of License
Centaur Studios grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download, install, and use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules.
- Access and use the App for your personal, non-commercial purposes.
You may not:
- Distribute, sublicense, lease, rent, or lend the App to any third party.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent expressly permitted by applicable law.
- Make copies of the App except as expressly authorized by this license.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the App.
- Use the App for any unlawful or unauthorized purpose.
3. Consent to Use of Data
You agree that Centaur Studios may collect and use certain data as described in our Privacy Policy. By using the App, you consent to such collection and use. Specifically:
- Account data (email, display name) is required for authentication.
- Couple data is stored to provide the shared relationship features.
- Photos are uploaded to provide the Memory Wall feature.
- All data collection is limited to what is necessary to provide the service.
4. Subscriptions and In-App Purchases
Auraly may offer premium features ("Auraly Pro") through auto-renewable subscriptions or one-time in-app purchases. If subscriptions are offered:
- Payment: Payment will be charged to your Apple ID account at confirmation of purchase.
- Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
- Renewal Charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.
- Management: You can manage and cancel your subscriptions by going to your Account Settings on the App Store after purchase.
- Free Trial: Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.
- Refunds: Refund requests are handled by Apple in accordance with their refund policies. Centaur Studios does not process refunds directly.
5. Maintenance and Support
Centaur Studios is solely responsible for providing maintenance and support services for the App, as specified in this EULA or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
6. Warranty
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, Centaur Studios disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In the event of any failure of the App to conform to any applicable warranty:
- You may notify Apple, and Apple will refund the purchase price for the App (if any) to you.
- To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App.
- Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Centaur Studios, to the extent they cannot be disclaimed under applicable law.
7. Product Claims
Centaur Studios, not Apple, is responsible for addressing any user or third-party claims relating to the App or your possession and/or use of the App, including but not limited to:
- Product liability claims.
- Any claim that the App fails to conform to any applicable legal or regulatory requirement.
- Claims arising under consumer protection, privacy, or similar legislation.
8. Intellectual Property Rights
In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Centaur Studios, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
9. Legal Compliance
You represent and warrant that:
- You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country.
- You are not listed on any U.S. Government list of prohibited or restricted parties.
10. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:
- You must cease all use of the App.
- You must delete all copies of the App from your devices.
- We may delete your account and associated data in accordance with our Privacy Policy.
11. Third-Party Terms of Agreement
You must comply with applicable third-party terms of agreement when using the App. This includes compliance with the Apple Media Services Terms and Conditions and any terms imposed by your wireless data service provider.
12. Third-Party Beneficiary
You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
13. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.
14. Severability
If any provision of this EULA is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
This EULA, together with our Privacy Policy and Terms of Use, constitutes the entire agreement between you and Centaur Studios with respect to the Licensed Application.
